1. Acceptance of Terms
By accessing or using the Siliconic platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not access or use the Platform. Siliconic reserves the right to modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the modified Terms.
2. Platform Description
Siliconic is an AI-powered cognitive funding platform that provides autonomous evaluation and analysis of startup funding proposals. The Platform uses artificial intelligence to assess proposals, generate evaluations, and facilitate the investment review process. The Platform is currently operating in simulation and demonstration mode. No real securities are offered, sold, or exchanged through the Platform.
3. Eligibility and Accounts
You must be at least 18 years of age to use the Platform. By creating an account, you represent that all information provided is accurate and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify Siliconic immediately of any unauthorized use.
4. User Content and Proposals
You retain ownership of all content you submit to the Platform, including business plans, financial data, pitch decks, and other materials ("User Content"). By submitting User Content, you grant Siliconic a non-exclusive, worldwide, royalty-free license to use, process, analyze, and store such content solely for the purpose of providing Platform services, including AI evaluation and analysis. You represent that you have the right to submit all User Content and that it does not violate any third-party rights.
5. Acceptable Use
You agree not to: (a) use the Platform for any unlawful purpose; (b) submit false, misleading, or fraudulent information; (c) attempt to reverse-engineer, decompile, or disassemble any Platform technology; (d) interfere with or disrupt the Platform or its infrastructure; (e) scrape, harvest, or collect data from the Platform through automated means; (f) impersonate any person or entity; (g) use the Platform to transmit malware, viruses, or other harmful code; or (h) circumvent any access controls or security measures.
6. AI Evaluation Disclaimer
AI evaluations, scores, analyses, and recommendations generated by the Platform are provided for informational and educational purposes only. They do not constitute investment advice, financial advice, legal advice, or any professional recommendation. AI outputs may contain errors, biases, or inaccuracies. Siliconic makes no guarantee regarding the accuracy, completeness, or reliability of any AI-generated content. You should not rely solely on Platform outputs when making any business or investment decision.
7. Funding Pipeline Disclaimer
The Platform simulates a funding evaluation pipeline including stages such as submission, review, approval, and funding. In its current demonstration mode, no real capital is deployed, no binding funding commitments are made, and no actual securities transactions occur. Any references to "funding," "investment," or "capital" within the Platform refer to simulated processes for demonstration and educational purposes only.
8. Intellectual Property
All Platform technology, including but not limited to AI models, algorithms, software, designs, text, graphics, logos, and trademarks, is the exclusive property of Siliconic or its licensors. You may not copy, modify, distribute, sell, or lease any part of the Platform or its technology without prior written consent. Any feedback, suggestions, or ideas you provide regarding the Platform may be used by Siliconic without obligation or compensation to you.
9. Third-Party Links and Services
The Platform may contain links to third-party websites or services. Siliconic does not endorse, control, or assume responsibility for the content, privacy policies, or practices of any third-party sites or services. Your interactions with third-party services are governed by their respective terms and policies.
10. Termination
Siliconic may suspend or terminate your access to the Platform at any time, with or without cause or notice. Upon termination, your right to use the Platform ceases immediately. Siliconic may delete your account and User Content following termination. Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.
11. Indemnification
You agree to indemnify, defend, and hold harmless Siliconic, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any rights of a third party.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SILICONIC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, WHETHER ARISING FROM CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF SILICONIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SILICONIC'S TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).
13. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. SILICONIC DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Platform shall be resolved exclusively in the state or federal courts located in Delaware. You waive any right to a jury trial in connection with any action arising from these Terms.
15. Changes to Terms
Siliconic reserves the right to modify these Terms at any time. Material changes will be communicated through the Platform or via email. Your continued use of the Platform after any changes constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Platform.
16. Severability and Entire Agreement
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect. These Terms constitute the entire agreement between you and Siliconic regarding the Platform and supersede all prior agreements.

This Privacy Policy describes how Siliconic ("we," "us," or "our") collects, uses, and shares personal information when you use our Platform. By using the Platform, you consent to the practices described in this policy.

Information Collected Automatically. When you access the Platform, we automatically collect: device information (browser type, operating system, device identifiers), usage information (pages visited, features used, session duration, click patterns), IP address and approximate location, and cookies and similar tracking technologies.
Information from Third Parties. We may receive information from third-party sources including: identity verification services, public databases and registries (SEC EDGAR, patent databases, SBIR/STTR records), analytics providers, and publicly available business information.
2. How We Use Information
We use personal information to: (a) provide, maintain, and improve the Platform; (b) process and evaluate funding proposals using AI analysis; (c) communicate with you about your account and proposals; (d) ensure platform security and prevent fraud; (e) comply with legal obligations; (f) conduct research and analytics to improve our AI models; (g) send you updates and marketing communications (with your consent); and (h) enforce our Terms of Service.
3. How We Share Information
Service Providers. We share information with third-party service providers who perform services on our behalf, including cloud hosting, analytics, AI model providers, and identity verification services. These providers are contractually obligated to use your information only as necessary to provide services to us.
Legal Requirements. We may disclose information if required by law, regulation, legal process, or governmental request, or to protect the rights, property, or safety of Siliconic, our users, or the public.
Business Transfers. In connection with a merger, acquisition, reorganization, or sale of assets, your information may be transferred as part of the transaction.
With Your Consent. We may share information with third parties when you have given us explicit consent to do so.

Proposal data and evaluation results are retained for the duration of your account and for a reasonable period thereafter. We implement reasonable technical, administrative, and organizational measures to protect personal information against unauthorized access, alteration, disclosure, or destruction. However, no method of transmission over the Internet or electronic storage is completely secure. We cannot guarantee absolute security.

The Platform is not directed to individuals under the age of 16. We do not knowingly collect personal information from children under 16.
